A prospectus supports a major investor fund raising project where considerable funds are sought from the public. A prospectus document offers the highest degree of legal compliance and is registered with ASIC. It is also referred to as a disclosure document for this reason. The key benefits that a prospectus provides include; it allows the advertising of an offer in the public domain and supports the raising a substantial amount of money.
In order to use a prospectus document, clients are required to meet the current regulatory requirements of the Corporations Act and ASIC. Typically we work within a team of lawyers, accountants and experts to produce a balanced document that is fully compliant yet supports your marketing efforts by presenting your opportunity in the strongest possible light.
To ensure budgetary certainty we offer the benefit of a fixed fee service which is supported by a formal proposal and quoted prior to commencing.
Our blogs provide our current commentary and thinking regarding all things to do with investor funding and writing investor offer documents including both information memorandums and prospectuses. We encourage you to have a read.
⇒ Prospectus Vs Offer Information Statement (OIS)
Where a Company has been registered for more than 12 months, it may be eligible to prepare an offer information statement rather than a prospectus. The compliance requirements are less for an offer information statement and the funds you can raise are also less. However, the main benefit is more cost effective to prepare.
⇒ Prospectus VS Information Memorandum (IM)
Some clients come to us thinking they need a prospectus when in fact, given their intended fund raising activities and target investors, they do not. In many instances they may make use of an Information Memorandum which is much more cost effective to produce. See our Information Memorandum services here.
We would be happy to offer some guidance on this matter and ensure you chose the right investor offer statement for you.
